Apply to serve on the AWC Temporary Bylaws Review Committee

The Bylaws Review Committee is a temporary committee that reviews the AWC bylaws typically at five-year intervals. The committee reviews compliance with modern governance methods, legal, procedural, and operating policies and practices. The last bylaws review was completed in 2014-2015, with membership adoption at the June 25, 2015 AWC Business Meeting.

Article 6 of the bylaws provides that the bylaws “may be altered, amended, or repealed and new bylaws may be adopted at any meeting of the board by affirmative vote of two-thirds of the directors then in office; provided however, the powers, duties, number, qualifications, terms of office, manner of elections, and criteria for removal of directors shall only be altered, amended, or repealed by the affirmative vote of the voting members...”

On April 12, 2019, the Nominating Committee reviewed the AWC bylaw provisions regarding qualifications for AWC Directors and recommended that the Board review and advance an amendment to the members that would: 1) increase the years of service as an elected official from one year to two years, 2) require achievement of Certificate of Municipal Leadership (CML) status; and 3) exempt single-city district representatives or ex officio directors from these qualifications. On June 25, 2019, the Board took action to forward this recommendation to the temporary bylaws review committee for review.

In order to review the bylaws and the Nominating Committee’s recommendation, a temporary Bylaws Review Committee is formed and tasked with completing its review by June 2020. Recommended changes to the bylaws will be presented to the Board of Directors at its June 23, 2020 meeting and then, if appropriate, forwarded to the membership at the AWC Business Meeting on June 25, 2020.

Time commitment

This is a temporary workgroup and is expected to meet 2-3 times throughout the first half of 2020. The first meeting will take place in person at the conclusion of the City Action Days conference in Olympia on January 29, 2019. Subsequent meetings will take place via web conference. AWC reimburses committee members for travel expenses incurred for attending meetings.

Five members will serve on this committee. The chair and members are appointed by the President.
